bStocks are neither a meme token nor a direct share
Issued by BTech Holdings Limited under the ADGM / FSRA framework, each bStock is 1:1 backed by a real U.S. share, and trades 24/7 inside the Binance ecosystem with on-chain circulation.
What a holder receives is an interest in a tokenized security / certificate, not a direct entry on the company’s share register. It is not common stock, and it does not carry ordinary voting rights. The economic exposure tracks the underlying share, with price linkage through 1:1 backing and conversion.
It is also not a typical meme coin. The issuer, custody, regulation, and offering documents sit inside an institutionalized securities framework. Each bStock is 1:1 backed by the corresponding U.S. share, with Proof of Collateral; it can trade 24/7 on Binance Spot and be withdrawn to a BNB Smart Chain wallet.
Users see a token. Institutions see a securities rail.
Underlying Share → Custody → Issuer / Certificate → BNB Chain Token → Binance Spot
ADGM / FSRA
The regulatory perimeter and official list. bStocks were among the first tokenized securities admitted to the FSRA Official List.
BTech Holdings
The issuer, a Binance Group affiliate, operating within the Abu Dhabi Global Market.
Regulated Custodian
The real U.S. shares sit with a regulated custodian — the credit anchor of 1:1 backing.
Binance
Trading, conversion, and the user gateway. Related ADGM entities carry trading, clearing/custody, and brokerage functions.
Tokenization changes the wrapper, not the security
Why bStocks is not “just another token”
Related prospectuses require FSRA approval; the product is a securitized certificate. Value rests on securities, issuer, custody, and the regulatory stack — not community consensus. Risk therefore extends beyond price, to issuer, custody, regulation, and smart-contract layers.
A bStock is not direct share ownership. It is a tokenized security with a defined legal and economic structure.
Turning equity exposure into a portable, standard asset
Regulated backing, always-on trading, on-chain settlement
Eligible users can convert between the share and the matching bStock 1:1; official materials show no conversion fee. U.S. cash equities live inside exchange hours. bStocks can trade 24/7 on Binance Spot, including the weekend — which does not mean every hour has the same depth.
Real-share custody
One bStock maps to one underlying U.S. share. Binance publishes Proof of Collateral so the backing can be checked.
The weekend stays open
After the U.S. cash close, the bStock can still trade on Spot. Friday close to Monday open is no longer a vacuum.
From the venue to the chain
Spot liquidity is in USDT pairs; tokens can be withdrawn to self-custody and composed into lending or LP, if a given protocol supports them.
Corporate actions
Net dividends are reinvested through a multiplier, not paid as cash to a shareholder account. Splits adjust quantity and price so economic value stays continuous.
From a first batch to a broader asset layer
After the June 2026 launch, the universe expanded beyond the initial stocks and ETFs — tech / AI / semiconductors, consumer and internet, crypto-related equities, and ETF / leveraged ETF products. ADGM / FSRA prospectuses and public disclosures are the primary trail for new issues and corporate actions.
The difference is the structure
| Lens | Listed share | bStocks | Meme coin |
|---|---|---|---|
| Legal form | Company stock | Tokenized security / certificate | Usually a token |
| Underlying | Equity in the issuer | 1:1 backing by a real share | Usually unbacked |
| Issuer | Public company | BTech Holdings Limited | Project / anonymous team |
| Perimeter | Securities regulation | ADGM / FSRA securities framework | Depends on the project and venue |
| Hours | Exchange sessions | Binance Spot 24/7 | Usually 24/7 |
| On-chain | No / limited | BNB Smart Chain | Native to a public chain |
| Shareholder rights | Yes | Not equivalent to direct rights | Usually none |
Always-on trading does not retire securities risk
Underlying
The cash share still drives the main market risk.
Issuer
A bStock is the issuer’s securitized product, with issuer-layer risk.
Custody
1:1 backing depends on custody and asset segregation.
Regulation
Access, investor eligibility, and product scope follow regulatory constraints.
Liquidity
Tradable around the clock does not mean equal depth at every hour.
Technology
Tokens, wallets, chain infrastructure, and trading systems carry operational risk.
Connecting TradFi’s regulatory stack with crypto market structure
Regulated · Backed · Always-on · Composable
Binance is joining the asset and regulatory frame of traditional securities with crypto’s 24/7 trading, on-chain circulation, and composability. The research point is not “stocks as coins”, but a regulated distribution and trading layer for tokenized securities.
What changes is how the interest is held, traded, and settled. The security itself does not disappear.
